Terms of Service

Thank you for using Frog Joe. These terms set out how the service works and what we ask of you.
"Frog Joe", "we", "our" and "us" mean Klaviersoft Ltd, of Nova Scotia, Canada. "Service" means frogjoe.com, the Frog Joe dashboard, the forges we run for you at frogjoe.dev and their CI runners. "You" means the organization that holds a Frog Joe account, and the people who use it.
By using the Service you agree to the latest version of these terms. If we do not enforce a term, that does not mean we waive it. These terms limit our liability (see section 8).
1. Your account
- You are responsible for keeping your account and password secure, and for making sure your organization's members do the same. We are not liable for loss caused by your failure to do so.
- Your organization's owners control its forge, its members, its plan and its billing. You are responsible for everything that happens in your organization's account and forge, including what its members do.
- You must be a person. Accounts created by automated means are not allowed.
- You may not use the Service for anything listed in section 2.
2. Acceptable use
You may not use the Service, including its CI runners, to:
- break the law, or store or share content that is illegal where you or we are;
- distribute malware, or attack, probe or overload other systems;
- mine cryptocurrency, or run workloads unrelated to building and testing your own software;
- send spam, or try to get around your plan's limits, our security controls or another customer's isolation;
- infringe anyone's intellectual property or privacy.
We may suspend a runner, a forge or an account to stop a breach of these rules while we look into it.
3. Plans, payment and refunds
- Plans are billed in advance, monthly or yearly, through Stripe. Prices are in US dollars and exclude taxes; where required, we collect sales tax.
- Each plan includes a number of CI runners and a monthly allowance of runner minutes. When the allowance is used up, your runners are reduced to the plan's fallback until the allowance resets at the start of your next monthly period. A job that is already running is allowed to finish.
- An upgrade takes effect immediately; Stripe charges the prorated difference for the rest of the current period. A downgrade takes effect at the end of the current period.
- Refunds: if you cancel within 14 days of your first paid invoice, we refund everything you paid in that time, no questions asked. After that, payments are not refundable, and we do not refund unused time.
- If a payment fails, we may limit or suspend the Service until it is paid.
4. Cancellation and termination
- Owners can cancel from the billing page at any time. Cancellation takes effect at the end of the current paid period, and you keep access until then.
- After your subscription ends, we keep your forge and its backups so you can come back or export your repositories and data, until you ask us to delete them. We cannot recover deleted data.
- We may suspend or end an account that breaches these terms, or refuse service to anyone, at our discretion. Where we can, we will warn you first.
- Abuse or threats toward our staff will end your account immediately.
5. Changes to the Service and prices
We may change, add or remove features of the Service. If we change the price of your plan, we will give you at least 30 days' notice by email before the new price applies to you.
6. Availability, security and privacy
- You use the Service at your own risk. We provide it "as is" and "as available", and we do not offer a service-level agreement.
- Each forge and its CI runners run in one region: Ashburn, Virginia, United States, unless your organization chooses another region we offer. From general availability, backups of every forge are stored in Canada. See our Privacy policy for where your data is stored.
- We protect your data with encryption in transit and at rest, and run each forge on its own server and storage. Today, our hosting provider takes a daily snapshot of each forge's storage and keeps it for five days. Before general availability, we will add encrypted backups in Canada: once a day on the Starter plan, and continuously, with point-in-time recovery, on the Team and Scale plans. You are still responsible for keeping your own copies of anything you cannot afford to lose; Git makes that easy.
- We process your data as described in our Privacy policy and for no other purpose.
7. Your content
- Your repositories and everything else you put in your forge stay yours. You give us a limited licence to store, copy and process that content only to provide the Service to you.
- We do not screen content, but we may remove content that breaches these terms or the law.
- Frog Joe's own software, design and name belong to us or our licensors. Forgejo is free software, used under its own licence.
8. Liability
To the extent the law allows, Frog Joe is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of, or inability to use, the Service. Our total liability for any claim is limited to the amount you paid us for the Service in the 12 months before the claim.
9. Governing law
These terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada that apply there. The courts of Nova Scotia have exclusive jurisdiction over any dispute arising from them.
